Terms of Service

2.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for all information associated with your account.

2.2 Account Security

You are responsible for safeguarding the password or credentials you use to access the Service and for any activities or actions under your account. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

We reserve the right to disable any account, username, or password at any time if, in our opinion, you have violated any provision of these Terms.

2.3 Account Eligibility

You must be at least 13 years old (or 16 in the EEA) to use the Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

2.4 Waitlist Access

During our beta or limited access periods, you may join a waitlist to be notified when we launch publically. By joining the waitlist, you agree to receive email notifications about your access status and important updates about the Service. Waitlist placement does not guarantee access to the Service, and we reserve the right to grant access at our sole discretion. You may remove yourself from the waitlist at any time by unsubscribing from our emails or contacting us.

3.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business or personal purposes. This license does not include any right to resell or commercial use of the Service or its contents.

3.2 Prohibited Uses

You agree not to do any of the following:

• Use the Service for any illegal purpose or in violation of any local, state, national, or international law or regulation;
• Violate, or encourage others to violate, any right of a third party, including by infringing or misappropriating any intellectual property right;
• Interfere with security-related features of the Service, including by: (i) disabling or circumventing features that prevent or limit use or copying of any content; or (ii) reverse engineering or otherwise attempting to discover the source code of any portion of the Service except to the extent that the activity is expressly permitted by applicable law;
• Interfere with the operation of the Service or any user's enjoyment of the Service, including by: (i) uploading or otherwise disseminating any virus, adware, spyware, worm, or other malicious code; (ii) attempting to collect personal information about another user or third party without consent; or (iii) interfering with or disrupting any network, equipment, or server connected to or used to provide the Service;
• Perform any fraudulent activity including impersonating any person or entity, claiming a false affiliation, accessing any other user's account without permission, or falsifying your age to bypass age restrictions;
• Sell, resell, or commercially use the Service or any portion thereof;
• Use any automated system, including "robots," "spiders," or "scrapers," to access the Service;
• Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service;
• Use the Service to send spam or other unsolicited communications;
• Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks.

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

4.1 Your Content

You retain all rights to any data, text, graphics, or other materials you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in connection with providing the Service to you and improving our services.

You represent and warrant that: (i) you own or have the necessary rights to submit the User Content; (ii) the User Content does not violate any third-party rights; and (iii) the User Content complies with these Terms and all applicable laws.

4.2 Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of SaaS Console and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

4.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us the right to use such Feedback without any obligation to you. We may use Feedback for any purpose, including improving the Service or developing new features.

4.4 Copyright Infringement

We respect intellectual property rights. If you believe that any content on the Service infringes your copyright, please contact us at mdnlabs.dev@gmail.com with details of the alleged infringement.

5.1 Paid Features

Certain features of the Service may require payment. By purchasing a paid subscription or feature, you agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated or required by law.

5.2 Billing

For subscription services, you will be billed on a recurring basis according to your selected billing cycle (monthly or annually). Your subscription will automatically renew unless you cancel before the renewal date. We reserve the right to change our fees upon reasonable notice.

5.3 Taxes

You are responsible for all applicable taxes associated with your use of paid features. If we are required to collect or pay taxes, such amounts will be charged to you.

10.1 Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States and the State of Ohio, without regard to its conflict of law provisions. However, if you are a consumer residing in the European Union, you will benefit from any mandatory provisions of the law of the country in which you reside.

10.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service will first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes will be resolved in the federal or state courts located in Ohio, United States, and you consent to the personal jurisdiction of such courts.

EU users may also have the right to use alternative dispute resolution procedures or file complaints with their local consumer protection authorities.

11.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and SaaS Console concerning the Service.

11.2 Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will remain in effect.

11.3 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

11.4 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

11.5 Export Controls

You agree to comply with all applicable export and import control laws and regulations in your use of the Service. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country.
